1. Introduction and Acceptance

These Terms of Service ("Terms") govern the business relationship between Kovalite ("Company," "we," "us," or "our") and our business customers ("Customer," "you," or "your") for the purchase of professional portable lighting products including flashlights, headlamps, camping lanterns, and related accessories.

By placing an order, entering into a supply agreement, or engaging in any business transaction with Kovalite, you acknowledge that you have read, understood, and agree to be bound by these Terms.

B2B Only: Our services are exclusively available to businesses, wholesalers, distributors, and professional buyers. We do not sell to individual consumers.

Risk and Liability

Risk Transfer: Risk of loss or damage transfers to the customer upon delivery to the designated shipping point (FOB terms).

Insurance: Customers are responsible for obtaining appropriate shipping insurance unless otherwise agreed in writing.

Inspection Period: Customers have 7 days from receipt to inspect goods and report any discrepancies or damage claims.

Force Majeure: Neither party shall be liable for delays or failures in performance resulting from circumstances beyond reasonable control, including but not limited to natural disasters, government actions, or supply chain disruptions.

9. Limitations of Liability and Disclaimers

Important Legal Disclaimers

Limitation of Liability: Kovalite's total liability for any claim shall not exceed the purchase price of the specific products giving rise to the claim.

Consequential Damages: In no event shall Kovalite be liable for indirect, special, incidental, or consequential damages, including lost profits or business interruption.

Product Applications: Customers are solely responsible for determining the suitability of products for their intended applications and compliance with local regulations.

  • Damage from unauthorized repair attempts

10. Governing Law and Dispute Resolution

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to conflict of law principles.

Dispute Resolution Process

Step 1 - Direct Negotiation: Parties agree to attempt resolution through good faith negotiations for a period of 30 days.

Step 2 - Mediation: If direct negotiation fails, disputes may be submitted to mediation through a mutually agreed mediator.

Step 3 - Arbitration: Unresolved disputes shall be settled through binding arbitration under the China International Economic and Trade Arbitration Commission (CIETAC) rules.

Jurisdiction

The courts of Ningbo, Zhejiang Province, China shall have exclusive jurisdiction over any legal proceedings related to these Terms, except where arbitration is mandated.
